Terms of Service

By accessing or using GARV AI LABS' services, website, platforms, or tools ("Services"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and GARV AI LABS. If you are using our Services on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

GARV AI LABS provides the following categories of services:

• AI & Data Consulting: Advisory services for AI strategy, implementation planning, and digital transformation roadmaps.
• Machine Learning Development: Custom ML model design, training, evaluation, and deployment.
• AI Agents: Development of autonomous AI agents for business process automation.
• Enterprise Integration: System integration, API management, and middleware solutions.
• Product Engineering: End-to-end software product development from strategy to deployment.
• Support & Maintenance: Ongoing monitoring, optimization, and technical support for deployed solutions.

• You must provide accurate and complete information when registering or contacting us.
• You are responsible for maintaining the security of any credentials or access provided to you.
• You must notify us immediately of any unauthorized use of your account or access credentials.
• We reserve the right to suspend or terminate access if we suspect unauthorized use or breach of these Terms.

You agree to use our Services only for lawful purposes. You must not:

• Use our Services to develop, train, or deploy AI models intended to harm individuals or facilitate illegal activities.
• Attempt to reverse engineer, decompile, or extract proprietary methodologies, code, or trade secrets from our deliverables without written consent.
• Use our Services to engage in any activity that violates applicable privacy, data protection, or intellectual property laws.
• Misrepresent your identity or affiliation when engaging with our team or platforms.
• Use our Services in a manner that could damage, disable, or impair our infrastructure or systems.
• Share or publicly disclose confidential information, deliverables, or proprietary methodologies without consent.

• All fees for services are detailed in your specific service agreement or proposal.
• Invoices are due within the payment terms specified in your agreement (typically Net 15 or Net 30).
• Late payments may attract interest at a rate of 1.5% per month or the maximum allowed by law.
• All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your purchase of services.
• GARV AI LABS reserves the right to suspend services for non-payment after reasonable notice.

• Deliverables will be defined in your specific Statement of Work (SOW) or service agreement.
• You will have a defined review period (as specified in your SOW) to accept or raise issues with deliverables.
• Deliverables are deemed accepted if no written objections are raised within the review period.
• Change requests beyond the agreed scope will be handled through a formal change management process and may be subject to additional fees.

Both parties agree to maintain strict confidentiality of any proprietary or sensitive information shared during the engagement. We will process your business data only as necessary to deliver the agreed services and in accordance with our Privacy Policy.

You retain ownership of all data you provide to us. We will not use your data for any purpose beyond delivering your contracted services, unless you explicitly authorize otherwise.

GARV AI LABS warrants that:

• Services will be performed with reasonable skill and care by qualified professionals.
• Deliverables will materially conform to the agreed specifications.
• We have the right to provide the services and grant the licenses described herein.

We do not warrant specific business outcomes, revenue improvements, or results, as these depend on factors outside our control including your implementation decisions and market conditions.

To the fullest extent permitted by law, GARV AI LABS shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from or related to these Terms or your use of our Services. Our aggregate liability to you shall not exceed the total fees paid by you to GARV AI LABS in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless GARV AI LABS and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of our Services, your violation of these Terms, or your violation of any applicable law.

• Either party may terminate the service engagement with written notice as specified in your service agreement.
• We may immediately terminate or suspend your access to Services for material breach of these Terms.
• Upon termination, all outstanding fees for work completed become immediately due and payable.
• Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

These Terms of Service shall be governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in accordance with Indian arbitration laws, with proceedings held in Uttarakhand, India.

GARV AI LABS reserves the right to modify these Terms of Service at any time. We will provide reasonable notice of material changes via email or website notice. Continued use of our Services after modifications become effective constitutes acceptance of the revised Terms.
